Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NeoSky AI, Inc., a Delaware corporation ("Company," "we," "us," or "our"), concerning your access to and use of the Falcon Builder platform and services (the "Service").

By accessing or using our Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Description of Service

Falcon Builder is an AI workflow automation platform that allows users to create, deploy, and manage AI agents and automated workflows. The Service provides tools for building visual workflows, integrating with various APIs and services, and executing automated tasks.

Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Billing

Cancellation

AI and Third-Party Integrations

Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or functionality of third-party services.

You are responsible for obtaining and maintaining valid API keys and credentials for any third-party services you integrate. You agree to use these integrations in compliance with the third-party provider's terms of service.

The Service, including all content, features, and functionality, is owned by NeoSky AI, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your Content

You retain ownership of any content, workflows, or data you create using the Service ("Your Content"). By using the Service, you grant us a limited, worldwide, non-exclusive license to host, store, and process Your Content solely to provide the Service to you.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.

Data Privacy and Security

We care about your privacy. Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our privacy practices.

• Any errors in the Service will be corrected
• The Service will meet your specific requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEOSKY AI, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless NeoSky AI, Inc. and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or any workflows you create

Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

The following sections shall survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.

General Provisions
